Terms and Conditions

These Terms and Conditions govern all services provided by TILCo (Translation, Interpretation & Localization Company), headquartered in Mexico City, Mexico. By commissioning work from us, the client agrees to these terms unless otherwise agreed in writing.

 

1. Definitions

• "TILCo", "we", "us" or "our" refers to the service provider.

• "Client" or "you" refers to any individual or organization commissioning services from TILCo.

• "Services" include translation, interpretation, voiceover, subtitling, content creation, localization, project management, and related consultancy services.

 

2. Scope of Services

TILCo agrees to provide professional language and communication services as outlined in the project agreement, proposal, or email confirmation. All services are subject to availability and mutual agreement on pricing, scope, and deadlines.

 

3. Quotations and Rates

• Quotes are valid for 30 days unless otherwise stated.

• Pricing is based on project complexity, volume, format, turnaround time, and language pairs.

• Any changes in scope after project initiation may result in revised costs and timelines.

 

4. Confidentiality

We treat all materials and communications as confidential. We will not disclose any client information to third parties without prior written consent, unless legally required to do so.

All TILCo team members and collaborators are bound by non-disclosure agreements and professional confidentiality standards.

 

5. Intellectual Property

Upon full payment, the client holds the rights to the final deliverables. TILCo retains the right to store and reuse anonymized linguistic assets (e.g., termbases, translation memories) for quality assurance and service consistency.

TILCo may not use or share client content or materials for promotional purposes without express permission.

 

6. Client Responsibilities

Clients agree to:

• Provide clear instructions and reference materials when applicable.

• Respond in a timely manner to questions or clarifications.

• Review and approve deliverables within a reasonable timeframe.

Delays in communication or approvals may impact agreed delivery dates.

 

7. Delivery & Revisions

• TILCo delivers all work by agreed deadlines, barring unforeseen technical or operational issues.

• We offer one round of minor revisions within 10 business days of delivery. Additional changes outside the original brief may incur extra charges.

• For live interpretation services, technical or environmental conditions outside our control (e.g., internet failure, platform access) are the client's responsibility.

 

8. Payment Terms

• Invoices are issued upon project completion or as agreed in writing.

• Standard payment terms are 30 days from invoice date unless otherwise specified.

• Late payments may incur interest or service suspension.

All bank fees and currency exchange charges are the client’s responsibility.

 

9. Cancellation Policy

• If a confirmed service is cancelled after work has begun, fees may apply based on the work completed up to that point.

• For scheduled interpretation or live events, cancellations within 48 hours may be subject to a full-day charge.

 

10. Liability

TILCo will make every reasonable effort to provide accurate, high-quality services. However, we are not liable for:

• Any indirect or consequential losses arising from the use of our deliverables

• Client decisions made based on translated or interpreted content

• Delays due to factors beyond our control

Our total liability shall not exceed the amount paid for the specific service.

 

11. Force Majeure

Neither party shall be liable for failure or delay caused by events beyond reasonable control, including but not limited to natural disasters, strikes, power outages, pandemics, or platform failures.

 

12. Governing Law

These Terms are governed by the laws of Mexico. Any disputes shall be subject to the jurisdiction of the competent courts in Mexico City.

 

13. Updates

TILCo reserves the right to update these Terms and Conditions at any time. The latest version will always be available on our website. Clients are encouraged to review them periodically.
